These Terms & Conditions (“Terms”) govern your access to and use of https://swordis.com (the “Website”) and your purchase of products from Halfway UP LLC (“Swordis,” “we,” “us,” or “our”). By using the Website or placing an order, you agree to these Terms.

We are a reseller of products manufactured by third-party brands and suppliers; we are not the manufacturer unless expressly stated.

2. Eligibility & Age Verification

To access and use the Website and purchase products, you must be at least 18 years old (or the age of majority in your jurisdiction, if higher). You may be required to confirm your age at checkout and, for bladed items, an adult signature may be required on delivery. We reserve the right to request proof of age and to refuse or cancel any order where age or identity cannot be reasonably verified.

3. Products and descriptions

We aim to describe products accurately, but descriptions, images, and specifications are provided for general information and may vary slightly from the item delivered. Product names, brand names, logos, and images belong to their respective owners (see Section 9).

4. Assumption of Risk & Lawful Use

The items sold on this Website are functional and can be dangerous. You agree to obtain proper training, to handle and store all items safely, and to use them only for lawful purposes. You assume all risk of injury, loss, or damage arising from the possession, handling, use, or misuse of any item. You agree not to use any item to threaten, harm, or unlawfully intimidate any person.

4A. Buyer’s Compliance with Local Laws

Weapons, blade, and knife laws vary by country, state, province, and locality. You are solely responsible for determining whether an item may be lawfully purchased, imported, possessed, carried, or used at your delivery address and place of residence before ordering. By placing an order you represent and warrant that the item is lawful for you to receive and possess in your jurisdiction. We reserve the right to refuse, cancel, or decline to ship any order, in whole or in part, to any destination where we believe the item may be restricted or prohibited, including cane swords, disguised blades, and similar items. If you are unsure of the rules in your area, check your state and local statutes or contact your local or state police department before purchasing.

5. Orders, pricing, and acceptance

All orders are offers to purchase and are subject to our acceptance. We may decline or cancel an order, including where the product is unavailable, where there is a pricing error, or where Section 4A applies. Prices are shown at checkout.

6. Shipping, duties, and taxes

Shipping timeframes are estimates. Risk of loss passes on delivery. Where we state that applicable duties, tariffs, or VAT are included for a destination, that statement applies only to the destinations and arrangements specified at checkout; you remain responsible for any charge we have not expressly agreed to cover.

7. Returns, refunds, and cancellations

Returns and refunds are governed by our Return Policy, which is incorporated into these Terms. There is a single canonical return window, restocking fee, and damage-reporting window set out in that policy. Custom or personalized orders are final and non-refundable, except where a mandatory statutory right applies.

EU/UK consumers: you have a statutory right to withdraw from a distance purchase within 14 days of delivery, subject to the recognized exception for custom or personalized goods. This right is in addition to, and prevails over, any conflicting term in our Return Policy.

Payment is processed by Paypal. By submitting payment information you authorize us and our processor to charge the amounts shown at checkout.

8A. Disclaimer of Warranties

Except for any limited warranty expressly provided by the applicable manufacturer or brand, and to the maximum extent permitted by applicable law, all products are provided “as is” and “as available,” and we disclaim all warranties of any kind, whether express, implied, or statutory, including the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. Some jurisdictions do not allow the exclusion of certain warranties; in those jurisdictions, the foregoing exclusions apply only to the extent permitted, and nothing in these Terms limits the mandatory statutory rights of consumers.

8B. Limitation of Liability

To the maximum extent permitted by applicable law, in no event will Halfway UP LLC, its owners, officers, employees, or suppliers be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, arising out of or relating to the products or these Terms, even if advised of the possibility of such damages. Our total aggregate liability arising out of or relating to any product or order will not exceed the amount you paid for the product giving rise to the claim. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by negligence where such limitation is prohibited.

8C. Indemnification

You agree to indemnify, defend, and hold harmless Halfway UP LLC and its owners, officers, employees, and suppliers from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or related to your purchase, possession, use, or misuse of any item, or your violation of these Terms or of any applicable law, including weapons, blade, import, or export laws.

9. Intellectual Property

All content on the Website is the property of Halfway UP LLC, our brand partners, or their respective licensors, and product names, brand names, logos, and product images are the property of their respective owners and are used with permission or under applicable law. You may not use any of this intellectual property without the owner’s express written permission.

10. Acceptable use

You agree not to misuse the Website, interfere with its operation, or use it for any unlawful purpose.

11. Dispute Resolution — Negotiation, Arbitration & Class-Action Waiver

The parties will first attempt to resolve any dispute through informal negotiation for 30 days. Thereafter, the dispute will be finally resolved by binding arbitration administered by the American Arbitration Association under its Commercial (or applicable Consumer) Arbitration Rules, seated in Wyoming. To the extent permitted by law, disputes will be resolved on an individual basis only, and you and we waive any right to participate in a class, collective, or representative action.

Nothing in this section deprives a consumer of the protection of mandatory provisions of the law of the country in which the consumer is resident. Consumers resident in the European Union, United Kingdom, or other jurisdictions whose law prohibits pre-dispute arbitration or forum-selection clauses against consumers retain the right to bring proceedings in, and to the protections of, their country of residence, and may also use any applicable online dispute-resolution platform.

12. Governing law

These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-laws rules, except that consumers retain the mandatory protections of their country of residence as described in Section 11.

13. Changes to these Terms

We may update these Terms from time to time. The “Last updated” date reflects the latest version. Continued use of the Website after changes constitutes acceptance.
